TERMS AND CONDITIONS OF USE (version of 15 June 2020)

preconditions
1. These Terms of Use (as defined below) are stipulated between Hublab Excellence of Business Srl, p. VAT and 1023178096, which manages the web platform FESTIVAL of the FUTURE (https://festivaldelfuturo.eu/) event promoted by the Athesis Group, Harvard Business Review Italia and Hublab Excellence of Business workshops of ideas and innovations for Italian SMEs and “the user“ (as defined below) and enter into force upon acceptance by the' "User".
2. The subject of these Terms of Use is the use of the Platform (as defined below) and its functionality. This agreement, as well as the cookie and privacy policies, establish the rules for accessing and using the Platform.
3. Browsing on the Platform, registering for it or using its features especially the page Experience The Future or The Community (as defined below) the User declares to have read and understood the terms and conditions of these Terms of Use and to fully accept every provision. Full acceptance of the Terms of Use is a necessary condition for the use of the functionality of the Platform as established therein. If the User does not intend to accept these Terms of Use, he must immediately stop browsing, make no registration on the Platform and not access, view, download or otherwise use any page, content or service offered by the Platform.
definitions
1. "User" indicates small and medium-sized enterprises, companies, start-ups that use the Platform by accepting the Terms of Use and its functions in order to present their projects and information as well as any investors and researchers.
2. "Terms of Use" indicates the present conditions of use and any other document referred to therein or attached thereto, regulating the relationship between "Festival del Futuro" and the User;
3. "Content" indicates the information and / or data contained in the Platform;
4. "User Content (s)" indicates any content such as, for example, contributions, photos, data, texts (Word documents, Power Point, Excel), software, graphics, sounds, images, videos or other materials protected by copyright or other rights, uploaded or otherwise made available by the User on the Platform;
5. "Festival of the Future" indicates the event which consists of a dense program of conferences with managers and researchers, the meeting with startups, university research centers, small and medium-sized enterprises, seminars and workshops on the main macro-trends developed for Harvard Business Review Italia by Italian and international experts.
6. "Corporate Page" indicates a possible profile page of a User in which he can describe his own reality and his business project, publish multimedia contents. The "Corporate Page" will be shown in the reserved area of the "Festival del Futuro" portal and will be called "Experience The Future" or alternatively "Our Community“.
7. "Platform" indicates the platform called "Festival del Futuro", accessible at the URL www.festivaldelfuturo.eu aimed at creating a community of Users called "Our Community“
8. "The Community" is a real and virtual community that gathers the best innovation experiences born in Italy, start-ups, as well as potential investors interested in getting in touch in order to evaluate business opportunities. Start-ups, university research centers, but also small and medium-sized enterprises with a high rate of innovation are part of the community. The community meets virtually all year round in the dedicated area on the site and physically during the Festival del Futuro.
9. Singular terms include the plural and vice versa, depending on what is allowed or required by the context.
Platform operation
1. The Platform is aimed at promoting the meeting between Users by allowing Users themselves to make their projects known as well as their skills.
2. Interested Users can register on the Platform and indicate their personal data using the appropriate online forms.
3. Access to the Platform may occasionally be suspended or temporarily limited for the execution of works necessary for maintenance, repair or updating with new services and products. "Festival del Futuro" will do everything possible to minimize the frequency and duration of such suspensions and / or limitations. "Festival del Futuro" cannot guarantee that the Platform is free from viruses or other potentially dangerous components for users' devices. The User therefore accepts that the use of the Platform is at his own risk.
4. The use and correct functioning of the Platform may, at times, be limited due to functionality, blockages or problems related to the reference market or to the tariffs of the data plan of each User, causes for which "Festival del Futuro" is not in any way responsible.
Registration to the platform
1. In order to use all the features of the Platform, the User must register using his e-mail address. As part of this procedure, the User must fill in various fields of his profile.
2. The User's email address and associated accounts will be used by "Festival del Futuro" for all communications relating to the use of the Platform, their personal profile and the services offered. The User accepts the validity of these communications in order to regulate the relationship, as well as the obligation to periodically check the aforementioned channels.
3. All the operations carried out through e-mail guarantee the automatic attribution to the same of the operations carried out and the relative activities, without exceptions whatsoever.
4. By registering - by clicking on the "send" button - the User accepts the information on the processing of personal data of the "Festival del Futuro" [Link] drawn up pursuant to EU Regulation 697/2016 and the present Terms of use.
5. "Festival del Futuro" cannot in any way get hold of the User's login credentials since they remain under the exclusive control of the latter.
6. The User declares and guarantees under his own exclusive responsibility that all information provided during registration, directly through the Platform, is true, correct and updated. It is understood that "Festival del Futuro" cannot be considered in any way responsible for the truthfulness, correctness and updating of the aforementioned information.
Use of the platform
1. Each User using the Service undertakes to:
  1. act in accordance with applicable legislation;
  2. provide accurate, up-to-date, non-confidential and non-infringing information on intellectual property rights or other rights of third parties;
  3. provide all the information necessary to verify the veracity of one's identity that could be requested by the "Festival del Futuro" or by any competent judicial or administrative authority in accordance with the applicable law;
  4. diligently guard the credentials that he uses to access his account, the security and secrecy of which the User is solely responsible for. If the User suspects that unauthorized access has been made to his account or profile by third parties, the User is asked to immediately contact "Festival del Futuro", and to change his password as soon as possible. "Festival del Futuro" does not assume any responsibility for any damage deriving from the non diligent custody of the access credentials used by the User to access the Platform;
  5. not to publish User Content or materials on the Platform that are contrary to law, public order or morality as well as false data with respect to one's business reality;
  6. not to transmit, upload, or otherwise make available viruses, threats, inappropriate content, advertising messages, unsolicited or unauthorized promotional materials, including any form of spam;
  7. not to use the Platform to transmit unauthorized commercial communications;
  8. not to damage, interfere or interrupt access to the Platform and its Contents, or perform actions that could alter the functionality or interfere with the access of other Users to the Platform and its Contents;
  9. not to use the Platform in an illegal or harmful way for the "Festival of the Future", or for any other User of the Platform.
2. "Festival del Futuro" may restrict, suspend, close the User's account in case of violation by you of the above rules. Closing an account will result in the loss of access to the Platform and the data connected to it.
User content
1. When the User transmits, uploads, or otherwise makes the User Content available on the Platform, he grants "Festival del Futuro" a non-exclusive license on these contents for distribution on the Platform.
2. The User is exclusively responsible for any User Content uploaded on the platform.
3. The User declares and guarantees that any User Content complies with the law and does not contain illegal material, data or information, or against morals, morality and public order, nor does it have obscene, defamatory, offensive or discriminatory nature in relation to religion, race, sexual orientation, nationality and, more generally, content that could be offensive or that violate third party intellectual property rights.
4. The User undertakes not to upload electronic files or any material that contains viruses or other codes, files or programs created to interrupt, destroy, limit or modify the functioning of the software, hardware or telecommunications systems, and of the platform on the Platform. of "Festival del Futuro" or third parties.
5. "Festival del Futuro" reserves the unquestionable right to remove User Content at any time, if it is not considered adequate and in line with acceptability standards or if the rights of third parties are violated, thus as it reserves the right to suspend or cancel the offending user's account and personal profile without notice.
Service interruption and data cancellation
1. At any time the User will be able to modify his personal profile or delete his account from the Platform.
2. The User can delete his account by sending an email to community@festivaldelfuturo.eu. After the cancellation, the User will receive by e-mail an automatic communication confirming that the request has been received, stating that the account will be deactivated in the following 72 hours.
3. With the cancellation of the request, Festival del Futuro guarantees the interruption of the use of data and other information relating to the User that the User may have uploaded via the Platform, with the exception of the treatments allowed or required by law or by specifications regulatory provisions.
Guarantees and indemnities
1. By the User
  1. The User acknowledges and expressly accepts that the Platform and its Contents are provided "as is" and "as available" at the time of their use.
  2. The User is solely and exclusively responsible for the use and security of his / her e-mail and accounts, also for the activities carried out through their use. The User is aware of the fact that, in order to regulate access to the service, the authentication procedure is required exclusively for the verification of the e-mail and accounts used, except in cases expressly established by law for which it is necessary to provide your identification data.
  3. The User is fully and exclusively responsible for any damages that may arise against "Festival del Futuro" or third parties, following the incorrect use, loss, theft and / or compromise of the confidentiality of the e-mail account and of the other accounts used
  4. The User is solely and directly responsible for his personal data, information and all User Content uploaded and made public through the Platform. The User has the obligation to verify that the User Content does not violate, in whole or in part, the rights of third parties or the applicable legislation and expressly undertakes to indemnify and hold harmless "Festival del Futuro" from all damages and the expenses (including the foreseeable legal fees) that should be charged to the "Festival del Futuro" as a result of actions by third parties or by administrative or jurisdictional authorities for violation of third party rights or applicable legislation by the User."
2. From the "Festival del Futuro"
  1. "Festival del Futuro" does not perform the functions of an agency but acts as a hosting provider in accordance with applicable legislation by providing a platform through which users can present information about their company, research, start-up activities and exchange ideas and projects innovative. In accessing the Platform, the User does not act in any way under the authority or control of "Festival del Futuro". Therefore "Festival del Futuro" is in no way responsible for the actions, contents, information provided, published or shared by Users. Nothing established in the Terms of Use implies in any way that "Festival del Futuro" is obliged nor can it be considered obliged to carry out a preventive surveillance activity on the information it stores and transmits, nor to actively seek facts or circumstances that indicate the presence of legally or contractually illegal activities. However, the rights and faculties recognized at the "Festival del Futuro" pursuant to applicable EU and national legislation are reserved.
  2. "Festival del Futuro" is in no way responsible for any relationship that may be established between Users interacting with the Platform, being relationships that are private and confidential over which "Festival del Futuro" cannot exercise any control.
  3. "Festival del Futuro" is also not in any way responsible, nor can it give any guarantee, on any communications, training, meetings, negotiations, contractual agreements or employment relationships that may arise between the various Users.
Intellectual property rights
1. Intellectual property rights such as any patents, trademarks, project registrations remain with the Users and therefore no commercial right on their intellectual property rights is guaranteed at the "Festival del Futuro" or associated companies.
2. "Festival del Futuro" allows access to the Platform for the sole purposes for which it was created and prohibits its copying or modification, even in part, without the written consent expressed by "Festival del Futuro".
3. It is therefore forbidden to use for commercial purposes, in whole or in part, by any present and future means, in any form and way, the above Platform, data, published material and other content, without the written consent of "Festival of the future"
4. The contents of the Platform, such as, for example, the works, images, photographs, dialogues, music, sounds and videos, documents, drawings, figures, logos and any other material, in any format, published on the Platform, including menus, web pages, graphics, colors, schemes, tools, fonts and website design, diagrams, layouts, methods, processes, functions and the software that is part of the Platform (collectively "Contents"), are protected by copyright and by any other intellectual property right of Hublab Excellence d'Impresa Srl - and / or other rights holders. The reproduction, in whole or in part, in any form, of the Platform and / or its Contents is forbidden, without the express written consent.
Personal data
1. The User undertakes to provide all the information necessary to ascertain the veracity of his identity which may be required by the "Festival del Futuro" or by any competent judicial or administrative authority in accordance with the applicable law.
2. The Company will process the User's personal data in the manner and terms specified in the privacy policy and in particular for marketing activities, through various tools, which are specified below:
  - advertising through newsletters, the website and on social media platforms;
  - sending messages and specific contents, in relation to the User's preferences, with monitoring of the effectiveness of the messages.
  - in addition, again for marketing purposes, the data is transferred to commercial partners for the purpose of receiving promotions, discounts and targeted communications based on the data provided.
3. The purposes pursued through the processing of personal data are:
  - allow contact between entrepreneurs;
  - inform the user about event services and products;
  - better understand customers in order to improve marketing services and activities (also to the benefit of the user experience);
  - sending newsletters and periodic information;
4. The data are kept until the withdrawal of consent or for a maximum of 24 months from the last interaction.
General clauses
1. Applicable law and jurisdiction. For any dispute concerning the interpretation or execution of the Terms of Use, only Italian law will apply, exclusive and mandatory jurisdiction of the court of Milan. In the event of disputes with Users who qualify as consumers, any dispute deriving from the interpretation, validity, execution of these Terms of Use or in any case inherent to or deriving from them, will be subject to the exclusive and mandatory jurisdiction of the court of the place of residence or User's domicile.
2. Hyperlinks. The Platform contains hypertext links (the "links") to other websites that have no connection with the Platform. The operator does not control or monitor these websites and their contents. The manager cannot be held responsible for the contents of these sites and the rules they adopt also with regard to the privacy and processing of the user's personal data during browsing operations. The user must therefore pay attention when connecting to these websites through the links on the Platform and must carefully read their conditions of use and privacy regulations. In fact, we remind you that these Terms and Conditions of Use and the Privacy Policy do not apply to websites managed by other subjects. The Platform provides links to other websites solely to facilitate its users in searching and browsing and to facilitate hypertext links on the Internet to other websites. The activation of the links does not imply any recommendation or signaling by the operator for accessing and browsing these websites, nor any guarantee regarding their content, services or goods supplied by them and sold to Internet users.
3. Additions and modifications. These Terms of Use constitute the entire agreement between the User and "Festival del Futuro" and replace any previous or simultaneous condition, agreement or declaration, both verbal and written, relating to the subject matter of the Terms of Use. "Festival del Futuro" reserves the right to modify the Platform, the site and all the data it contains, the policy and the Conditions of Use of the Platform at any time. The User will be subject to the Information on the processing of personal data and the Terms of Use in force at the time, which can be consulted by clicking on the "Terms of Use" hyperlink located in the main menu of the Platform pages.
4. Storage. If any provision of the Terms of Use is declared unlawful, null, or ineffective, this provision will be modified to make it effective or otherwise eliminated, and will not affect the validity and effectiveness of the remaining provisions
5. Communications. Any administrative communication relating to the Terms of Use will be made on the Platform homepage.
